Terms of Service
This English version is provided for convenience. If legal interpretation differs, the German version applies unless mandatory law provides otherwise.
1. Provider and scope
These Terms apply to the use of the clutr document filing service. The provider is Proximo Systems Dreessen & Haensch GbR, Bauernholztal 33, 21149 Hamburg, Germany.
2. Service
clutr provides a web-based document filing service. Users may upload, store, read by OCR, classify, search, export and organize documents in a folder structure. The exact scope depends on the selected plan.
3. Account, credentials and security
Users must provide accurate registration information, keep credentials confidential and set up two-factor authentication with care. Users are responsible for actions performed through their account where they are responsible for the misuse.
4. Plans, limits and billing
Available plans, monthly quotas, additional functions and prices are displayed in the application. Usage limits may relate to storage, traffic, documents, pages, API access or other resources. Unused monthly quotas expire unless expressly stated otherwise.
Where usage-based billing applies, services are charged based on consumption. Use may be restricted if there is insufficient credit or agreed limits have been reached.
5. Uploads and content
Users may only upload, store or process content they are entitled to use. In particular, unlawful, harmful, misleading or security-threatening content is prohibited. The provider may check, block or delete uploads where there are concrete indications of misuse, malware or legal violations.
6. Malware scanning and security measures
Uploaded files may be scanned automatically for malware. Malware scanning reduces risks but does not replace the user's own security checks and does not guarantee that every threat will be detected.
7. Automatic analysis, OCR and AI classification
Automatic OCR, classification and folder assignment may be incorrect or incomplete. Users must review important results themselves, especially where legal, tax, financial or business-critical decisions may be based on them.
8. Availability and maintenance
The provider endeavors to operate the service reliably. Continuous uninterrupted availability is not guaranteed. Maintenance, updates, incidents, attacks or events outside the provider's control may temporarily restrict use.
9. Interfaces and third-party services
Depending on the plan, API access, email notifications or integrations with external services may be available. Third-party services are also subject to their own terms. Users are responsible for keeping credentials and API keys secure.
10. Data protection and processing on behalf of customers
Personal data is processed in accordance with the provider's privacy information. Where the provider processes personal data on behalf of the user, the parties will enter into a data processing agreement where required.
11. Rights to content
Rights to uploaded documents remain with the user or the respective rights holders. The user grants the provider the usage rights technically required to provide, store, analyze, classify, secure and deliver the content.
12. Export, deletion and termination
Users may export stored content where the application provides this function. After termination or deletion of an account, access may cease. Statutory retention and evidence obligations remain unaffected.
13. Liability
The provider is liable without limitation for intent, gross negligence, injury to life, body or health and under mandatory statutory provisions. In cases of simple negligence, the provider is liable only for breach of material contractual obligations and limited to the typical foreseeable damage.
14. Suspension in case of misuse
The provider may temporarily suspend accounts, uploads, API access or individual functions where there are concrete indications of misuse, security risks, payment default or legal violations.
15. Changes to these Terms
Changes to these Terms will be communicated to users in an appropriate manner. If a user does not object within the communicated period and continues to use the service, the changes are deemed accepted where the user was informed of this consequence.
16. Final provisions
German law applies. Mandatory consumer protection rules remain unaffected. If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
